Cellectar Biosciences: Announces successful completion of $8 million public offering

MADISON, Wis., April 20, 2016 (GLOBE NEWSWIRE) — Cellectar Biosciences, Inc. (NASDAQ:CLRB) today announces the closing of its underwritten public offering of approximately 1.87 million shares of its common stock and approximately 1.91 million pre-funded warrants to purchase the same numbers of shares of common stock, plus the issuance of approximately 3.78 million Series A warrants to purchase the same number of shares of common stock. The pre-funded warrants have an exercise price of $0.01 per share. The Series A warrants have an exercise price of $3.04 per share, and are exercisable for five years from the date of issuance.

The Series A warrants, which are callable under certain circumstances, trade on the NASDAQ market under the symbol CLRBZ.

Gross offering proceeds to the company, reflecting the exercise of the over-allotment option, were approximately $8.0 million, while net proceeds, after deducting underwriting discounts, commissions and estimated offering expenses, are estimated to be approximately $7.2 million.
