Meier Appointed Chairman of the Board

FRAMINGHAM, Mass., August 31, 2004 – SmartTime Software, Inc., Framingham, Mass., announced today that Tom Sinton, the former CEO of ProBusiness Services, Inc., and Garry Meier, an executive with over 25 years of leadership experience in the business services industry, have joined the Board of Directors of SmartTime Software to serve as independent Directors. In addition, Meier has been appointed Chairman of the Board of Directors. The addition of Sinton and Meier expands the Company’s Board to six Directors as they join CEO, Kevin Rhone, and three representatives from the Company’s recent equity financing, Bill Filip from Baird Venture Partners, Mike Forgash from Zon Capital Partners and Benjamin Malka from North Hill Ventures.

Tom Sinton is the founder and former CEO of ProBusiness Services, a publicly traded, leading provider of HR administrative services for large employers, including payroll processing, payroll tax filing, benefits administration and human resource software. ProBusiness Services, founded in 1986 and based in Pleasanton, Calif., grew under the leadership of Sinton to $170 million in revenue and over 2,000 clients prior to its strategic sale to ADP in 2003 for approximately $500 million. Prior to ProBusiness, Sinton was the founder and CEO of Home Gourmet Foods, a pioneer company in the fresh poultry retail marketplace. Sinton was also a former Vice President, Marketing for Kern Valley Packing Company and the founder and manager of Shell Creek Vineyards.

Garry Meier, a senior executive with multiple business services companies, is the former Chairman, CEO and President of Outsource International, Inc., a human capital management provider of professional services and temporary staffing. During Meier’s tenure, Outsource International achieved revenues in excess of $300 million annually through a nation-wide network of company-owned branches and franchise locations. Prior to his tenure at Outsource International, Meier was President & CEO of Global Integrity/Emergent Technologies, at the time a $100 million provider of Internet information security and e-commerce information protection and consulting services to the commercial marketplace. He has also served as Executive Vice-President/COO of Medaphis Physicians Services Corporation, a division of Medaphis Corporation, and Senior VP/General Manager Services, Strategy and Planning for Technology Service Solutions. Meier was also a former general partner at Edward Jones & Co. in St. Louis and began his career with the IBM Corporation.
