RR Donnelley and Banta Corporation Announce Expiration of the Hart-Scott-Rodino Waiting Period

CHICAGO and MENASHA, Wis., Dec. 18 /PRNewswire-FirstCall/ — R.R. Donnelley & Sons Company (NYSE:RRD) and Banta Corporation (NYSE:BN) jointly announced today the expiration of the waiting period under the Hart-Scott- Rodino Antitrust Improvements Act of 1976, as amended, in connection with RR Donnelley’s previously announced agreement to acquire Banta Corporation for $1.3 billion. The acquisition, subject to other customary closing conditions, is expected to be completed by mid-January 2007.
