Froedtert Health and Ministry Health Complete Agreement
To Co-Own Insurance Plan

Network Health targets spring for southeastern Wisconsin sales launch

Milwaukee, Wis. (November 11, 2014) – Froedtert Health and Ministry Health Care have completed a previously announced transaction to co-own Network Health, a Wisconsin-based health insurance company. The agreement also establishes Integrated Health Network of Wisconsin (IHN) as the provider organization for Network Health members in the new service area.

“With the agreement now in place, our intent is for Network Health to offer both fully insured and self-funded plans to large employers by spring 2015,” said Sheila Jenkins, president of Network Health. “Over time, we’ll expand our product portfolio to provide a wide range of options to the communities of southeastern Wisconsin.”

“We are pleased that all final steps have been taken and approvals received to complete this transaction,” stated Nick Desien, president and CEO of Ministry Health Care and Ascension Ministry Market Leader for Wisconsin. “The shared ownership of Network Health by Froedtert and Ministry will open many new opportunities for all three organizations as well as employers and residents of southeastern Wisconsin.”

Network Health currently provides commercial and Medicare Advantage health insurance plans to employers and individuals in northeastern Wisconsin. Co-ownership facilitates the opportunity to expand Network Health insurance services into southeastern Wisconsin with Integrated Health Network as the provider group. The insurance company has been solely owned by Ministry Health Care since 2012.

“We look forward to working together to offer southeastern Wisconsin employers additional proven,
high-quality insurance options and evidence-based care coordination through IHN,” said Catherine
Jacobson, president and CEO of Froedtert Health and chair of Integrated Health Network. “In
addition, members will have in-network access to advanced specialty care through Froedtert &
the Medical College of Wisconsin academic medical center.”

“Integrated Health Network is an example of Ascension’s strategic commitment to developing and participating in regional clinically integrated systems of care as we evolve to provide truly person-centered care for populations,” said Robert J. Henkel, FACHE, President and Chief Executive Officer, Ascension Health. “The new ownership arrangement for Network Health will expand the ability of IHN to serve more individuals across the region.”

Integrated Health Network is a clinically integrated network of independent health systems, hospitals
and physicians. Integrated Health Network includes the following Wisconsin organizations:
Agnesian HealthCare, Columbia St. Mary’s, Froedtert Health, the Medical College of Wisconsin,
Ministry Health Care, and Wheaton Franciscan Healthcare. Launched in 2010, it is one of the first
multiple-system accountable care networks in the country.

Ministry Health Care joined Integrated Health Network in September 2013. Since January, Integrated Health Network has been managing care for approximately 90,000 lives, including 55,000 lives through a partnership with UnitedHealthcare that created one of the nation’s largest accountable care initiatives.
